1. Definitions

• “Grabzo,” “we,” “us,” or “our” refers to Grabzo, the entity operating the Platform at grabzo.app.
• “User,” “you,” or “your” refers to any individual who accesses or uses the Platform.
• “Platform” refers to the Grabzo website (grabzo.app), mobile application, AI shopping assistant, and all related features and services.
• “Grabzo Rewards” refers to the rewards programme operated by Grabzo, through which users may earn rewards for qualifying purchases made via the Platform.
• “Affiliate Partners” refers to the e-commerce platforms including but not limited to Amazon, Flipkart, Myntra, Nykaa, and Ajio, whose products are displayed on the Platform.
• “Content” means all text, images, product information, prices, ratings, reviews, AI-generated responses, and other materials displayed on the Platform.

2. About the Platform

Grabzo is an AI-powered shopping assistant designed for Indian consumers. The Platform enables users to search for, compare, and discover products across multiple e-commerce platforms using natural language queries. Grabzo operates as an affiliate marketing platform and earns commissions from qualifying purchases made through affiliate links displayed on the Platform.

Grabzo does not sell, stock, ship, or deliver any products. All purchases are made directly on the respective e-commerce platforms (such as Amazon, Flipkart, Myntra, Nykaa, Ajio, etc.), and the terms, warranties, return policies, and customer support for those purchases are governed by the respective e-commerce platform's own terms and policies.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction.
• Be a resident of India (the Platform is designed for Indian consumers).
• Have the legal capacity to enter into a binding agreement.
• Not be suspended or removed from the Platform previously for any reason.

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.

4. User Accounts

You may create an account on the Platform using your email address or through Google sign-in. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Grabzo immediately of any unauthorised use of your account.

You may not create multiple accounts to abuse the Grabzo Rewards programme or any other feature of the Platform. Grabzo reserves the right to suspend or terminate accounts that are found to be fraudulent, duplicative, or in violation of these Terms.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Platform for any commercial purpose other than personal shopping assistance, without prior written consent from Grabzo.
• Attempt to manipulate, game, or abuse the Grabzo Rewards programme, including but not limited to creating fake accounts, making fraudulent purchases, or using bots or automated tools.
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform.
• Attempt to gain unauthorised access to any part of the Platform, other user accounts, or computer systems connected to the Platform.
• Use the Platform to transmit any malware, viruses, or harmful code.
• Scrape, crawl, or use any automated means to access or collect data from the Platform without written permission.
• Misrepresent your identity or affiliation with any person or entity.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission from Grabzo.

6. Product Information & Pricing

Grabzo aggregates product information from multiple e-commerce platforms using their respective APIs and affiliate feeds. While we make every effort to display accurate product information, prices, ratings, and availability, we cannot guarantee the accuracy, completeness, or timeliness of such information.

Prices and availability displayed on Grabzo are sourced from Affiliate Partners and may change at any time. The final price, availability, delivery, and other terms of your purchase will be determined by the e-commerce platform on which you complete the transaction. Grabzo is not responsible for any discrepancies between the information displayed on our Platform and the actual terms on the Affiliate Partner's website.

Product recommendations provided by Grabzo's AI are generated algorithmically and do not constitute professional advice. Users should independently verify product suitability for their specific needs.

7. Affiliate Disclosure

Grabzo is an affiliate marketing platform. When you click on a product link on Grabzo and make a purchase on a partner e-commerce platform, Grabzo may earn an affiliate commission from that purchase. This commission is paid by the e-commerce platform to Grabzo and does not increase the price you pay for the product.

Grabzo's product recommendations and search results may be influenced by the availability of affiliate partnerships. However, we strive to provide honest, transparent, and genuinely useful recommendations. Our AI compares products across multiple platforms to help you find the best deal.

8. Grabzo Rewards Programme

Grabzo may offer a rewards programme (“Grabzo Rewards”) through which users can earn rewards for qualifying purchases made through the Platform. The Grabzo Rewards programme is governed by its own separate Terms & Conditions, which are incorporated into these Terms by reference.

Key points to note:

• Grabzo Rewards are offered by Grabzo as a platform benefit. They are not cashback, discounts, or offers from any Affiliate Partner.
• Reward amounts are estimates and may vary based on actual commission received.
• Grabzo reserves the right to modify, suspend, or terminate the Rewards programme at any time.
• Participation in the Rewards programme is subject to compliance with these Terms and the Rewards Terms & Conditions.

9. Intellectual Property

The Platform, including its design, layout, text, graphics, logos, icons, images, software, AI models, and all other content created by Grabzo, is the property of Grabzo and is protected by Indian and international intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any Grabzo content without prior written consent.

Product images, descriptions, brand names, and trademarks displayed on the Platform belong to their respective owners and are displayed under affiliate programme agreements. Their appearance on Grabzo does not imply endorsement by or affiliation with Grabzo beyond the affiliate relationship.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

11. Third-Party Links & Services

The Platform contains links to third-party websites, specifically the e-commerce platforms of our Affiliate Partners. Grabzo has no control over the content, privacy policies, or practices of these third-party sites. By clicking on affiliate links, you will be redirected to the respective e-commerce platform, and your use of that platform will be governed by their terms and policies.

Grabzo is not responsible or liable for any loss, damage, or harm arising from your transactions on third-party platforms.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Grabzo does not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• The AI-generated recommendations will be accurate, complete, or suitable for any particular purpose.
• Product information, prices, or availability will be accurate at the time of your purchase on the Affiliate Partner's platform.
• Any rewards estimated on the Platform will be the exact amount credited to your account.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Grabzo and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Platform.
• Any purchases made through affiliate links on the Platform.
• Any errors, inaccuracies, or omissions in product information or AI recommendations.
• Unauthorised access to or alteration of your data or transmissions.
• Any issues with the Grabzo Rewards programme, including delayed, reduced, or reversed rewards.

In no event shall Grabzo's total liability to you for all claims exceed the total amount of Grabzo Rewards credited to your account in the twelve (12) months preceding the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is lower.

14. Indemnification

You agree to indemnify, defend, and hold harmless Grabzo and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with your use of the Platform, violation of these Terms, or infringement of any third-party rights.

15. Modifications to Terms

Grabzo reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a revised “Last Updated” date, and where possible, by sending an email notification. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

It is your responsibility to review these Terms periodically for changes.

16. Termination

Grabzo may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or abuse of the Rewards programme.

Upon termination, your right to use the Platform will immediately cease. Any pending or unclaimed Grabzo Rewards may be forfeited upon termination for cause. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9, 12, 13, 14, and 17.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may pursue legal remedies available under Indian law.

18. Grievance Redressal

In accordance with the Information Technology Act, 2000 and rules made thereunder, the name and contact details of the Grievance Officer are provided below:

The Grievance Officer shall address any complaints or concerns within thirty (30) days of receipt.

19. General Provisions

• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: The failure of Grabzo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, Grabzo Rewards Terms & Conditions, and Affiliate Disclosure, constitute the entire agreement between you and Grabzo regarding your use of the Platform.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without Grabzo's prior written consent.
• Language: These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
